TERMS OF SERVICE

1. Agreement

By engaging AXOW LLC ("AXOW," "we," "us") for any service — whether through our website, email, phone, or any written agreement — you ("Client") agree to these Terms of Service. These terms govern all projects, deliverables, and ongoing services provided by AXOW LLC.

2. Services

AXOW LLC provides marketing and AI services including but not limited to: website design and development, SEO, paid advertising (Google, Meta), social media management, photography, branding, and AI workflow implementation.

The specific scope of work, deliverables, timeline, and pricing for each project will be defined in a separate proposal or agreement provided before work begins.

3. Payment Terms

• Deposit: 50% of the total project fee is required before any work begins. No exceptions.
• Final payment: The remaining 50% is due upon delivery of the final deliverable.
• Retainers: Monthly retainer fees are due on the 1st of each month.
• Late fees: A 5% late fee applies to invoices unpaid after 30 days.
• Payment methods: We accept credit/debit cards and bank transfers via Stripe.

All prices are in US Dollars (USD). We reserve the right to pause work on any project with an outstanding unpaid balance.

4. Revisions and Approvals

• All projects include 2 rounds of revisions at no additional cost.
• Additional revision rounds are billed at $75 per round.
• The client has 5 business days to provide feedback after each deliverable is submitted. If no feedback is received within that period, the deliverable is considered approved.
• Revision requests must be submitted in writing (email is acceptable).

5. Client Responsibilities

To complete your project on time, we need your cooperation. You agree to:

• Provide all required materials (logos, photos, copy, credentials) within 5 business days of request
• Respond to questions and review requests in a timely manner
• Ensure that any materials you provide do not infringe on third-party intellectual property rights

Delays caused by late client responses may affect the project timeline. AXOW LLC is not responsible for missed deadlines caused by client delays.

6. Intellectual Property

Upon receipt of final payment, the client receives full ownership of the final deliverables created specifically for their project. AXOW LLC retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

AXOW LLC retains ownership of all source files, templates, frameworks, and tools used to create the deliverables that were not created exclusively for this project.

7. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the course of the engagement. AXOW LLC will not share your business data, client lists, financials, or internal materials with any third party without your written consent.

8. Cancellation

• Either party may cancel a project with written notice.
• The initial 50% deposit is non-refundable once work has begun.
• If AXOW cancels without cause, any work completed will be delivered and the deposit refunded proportionally.
• Monthly retainer agreements require 30 days written notice to cancel.

9. Limitation of Liability

AXOW LLC's total liability for any claim arising from our services is limited to the amount paid by the client for the specific service in question. We are not liable for indirect, incidental, or consequential damages, including lost revenue or business opportunities.

We do not guarantee specific results from SEO, advertising, or marketing campaigns. All performance projections are estimates based on industry data and are not contractual guarantees.

10. Governing Law

These Terms of Service are governed by the laws of the State of Georgia, United States. Any disputes will be resolved in the courts of Georgia, and both parties consent to jurisdiction there.
